Verification of Directors by Companies House (2025 Update)

 

 

 

 

From 18 November 2025, identity verification becomes a legal requirement for UK company directors and people with significant control (PSCs). This is part of the Economic Crime and Corporate Transparency Act 2023 and is being phased in over 12 months.

What is director verification?

Director verification confirms that the person running, owning or controlling a company is who they say they are. It improves the accuracy and trustworthiness of the Companies House register and helps prevent fraud. Once verified, you’ll receive a unique Companies House personal code that you will use when you file certain documents.

Who must verify?

    • All company directors (including new appointees and existing directors)

    • People with Significant Control (PSCs)

    • Those who file on a company’s behalf (this element is being introduced later)

LLPs, limited partnerships and some corporate officers will follow a similar model as the rollout continues.

When do I need to verify?

    • New directors and new PSCs (from 18 November 2025): must verify at incorporation/appointment. PSCs have a 14-day window to confirm they’re verified and provide their personal code.

    • Existing directors and existing PSCs: must verify during the phased rollout and before filing obligations that require your personal code. Critically, directors must have verified before the first confirmation statement filed on or after 18 November 2025; you won’t be able to file without all directors’ personal codes.

How do I verify?

There are two routes:

    1. Direct with Companies House (free):
      Use the GOV.UK One Login journey. Depending on your answers, you’ll verify via the mobile app, online security questions, or by starting online and completing ID at a participating Post Office. Most people complete this in minutes. You’ll then receive your Companies House personal code.

    2. Through an Authorised Corporate Service Provider (ACSP):
      An accountant or solicitor authorised by Companies House can verify you to the required standard. They may charge a fee.

What do I do with my personal code?

From 18 November 2025 you’ll need your code to:

    • File your company’s confirmation statement

    • Be appointed as a director

    • Record or update your PSC role

Keep the code secure and share it only with trusted people who file on your behalf.

What happens if I don’t verify?

If you fail to verify on time, you may be unable to file, and you could face civil penalties or criminal sanctions. Continuing to act as a director without verification after it becomes mandatory can amount to an offence and may lead to disqualification. Companies House will also mark unverified individuals on the public register.

Practical next steps

    • Verify early to avoid bottlenecks during the rollout period. Over a million people have already verified during the voluntary phase.

    • Check your company’s due dates and plan director/PSC verification before your next confirmation statement after 18 November 2025.

    • Ensure all directors and PSCs understand they each need their own verification and personal code.
