Self-Employed Marketing Consultant Agreement

This Agreement is made between:

1. Status of Appointment

The Consultant is engaged on a self-employed, independent contractor basis. Nothing in this Agreement shall create an employment relationship, partnership or joint venture. The Consultant is responsible for their own tax, National Insurance and any other statutory obligations.

2. Services

The Consultant will provide marketing and business development services to the Firm, including but not limited to:

• Generating new client enquiries and leads
• Developing and implementing marketing strategies
• Supporting the Firm’s brand, online presence and client acquisition activities
• Introducing prospective clients to the Firm

The Consultant has discretion as to how the services are performed, subject to maintaining the professional reputation of the Firm.

3. Commission and Fees

3.1 The Consultant will receive 30% of fees generated from new clients introduced by the Consultant.

3.2 Commission applies only to clients who:
• Are first introduced by the Consultant, and
• Become fee-paying clients of the Firm.

3.3 Commission is calculated on net fees received by the Firm (exclusive of VAT and disbursements).

3.4 Commission is payable only after the Firm has received payment from the client.

3.5 If a client fails to pay, no commission shall be due.

3.6 Commission will normally be paid monthly in arrears following receipt of client payment.

3.7 The Firm retains full discretion over pricing, engagement terms and whether to accept a prospective client.

4. Ongoing Fees

Commission shall continue to be payable on recurring annual fees from clients introduced by the Consultant for as long as:

• The client remains a client of the Firm, and
• This Agreement remains in force.

If this Agreement is terminated, the Firm may at its discretion continue or cease future commission payments.

5. Expenses

Unless agreed in advance in writing, the Consultant is responsible for all expenses incurred in providing services.

6. Confidentiality

The Consultant must keep confidential all client information, Firm data, pricing, systems and business information both during and after the termination of this Agreement.

No confidential information may be shared without prior written consent.

7. Non-Solicitation

The Consultant agrees that during this Agreement and for 12 months after termination, they will not:

• Solicit or attempt to move clients away from the Firm
• Provide competing accountancy or tax services to clients of the Firm

8. Professional Conduct

The Consultant agrees to act professionally and not do anything that could damage the reputation of the Firm.

All marketing must be truthful, ethical and compliant with relevant laws and regulations.

9. Term and Termination

This Agreement commences on [Start Date] and continues until terminated.

Either party may terminate the Agreement by giving 30 days written notice.

The Firm may terminate immediately if the Consultant breaches confidentiality, damages the Firm’s reputation, or acts dishonestly.

10. Liability

The Consultant is responsible for their own professional indemnity insurance if required.

The Firm shall not be liable for any loss arising from the Consultant’s activities.

11. Entire Agreement

This document represents the entire agreement between the parties and may only be amended in writing.

12. Governing Law

This Agreement shall be governed by the laws of England and Wales.
